This Data Processing Agreement forms part of the SafeTrace Terms of Service. By using SafeTrace, the Customer agrees to the terms of this DPA.
This Data Processing Agreement ("DPA") forms part of the Terms of Service between:
This DPA applies where Aigis Ltd processes personal data on behalf of the Customer in connection with the provision of the SafeTrace service. By using SafeTrace, the Customer agrees to the terms of this DPA.
In this DPA, the following terms have the meanings set out below:
Aigis Ltd processes the following categories of personal data on behalf of the Customer:

Processing is carried out solely for the purpose of providing the SafeTrace service as described in the Terms of Service. Aigis Ltd will not process personal data for any other purpose without the Customer's prior written consent.
Aigis Ltd agrees to:
The Customer authorises Aigis Ltd to engage the following sub-processors:

Aigis Ltd will notify the Customer of any intended changes to sub-processors, giving the Customer the opportunity to object. Aigis Ltd will ensure that sub-processors are bound by data protection obligations equivalent to those in this DPA.
Aigis Ltd will assist the Customer in responding to requests from data subjects exercising their rights under UK GDPR, including:

In the event of a personal data breach, Aigis Ltd will:
Breach notifications will include: the nature of the breach, categories and approximate number of data subjects affected, likely consequences, and measures taken or proposed to address the breach.
Aigis Ltd ensures that all personnel authorised to process personal data under this DPA are subject to appropriate confidentiality obligations. Access to personal data is restricted to those employees and contractors who require it to perform their duties in connection with the SafeTrace service.
In relation to data protection rights, neither party's liability shall be limited by the general limitation of liability provisions in the Terms of Service.
All personal data processed by Aigis Ltd is stored on servers located within the European Union (EU). Our primary data storage locations are:
Aigis Ltd does not transfer personal data outside the UK or EU without appropriate safeguards in place. Where data is transferred to third countries (such as the USA for push notification delivery via Expo), appropriate safeguards are in place including Standard Contractual Clauses.
The Customer has the right to audit Aigis Ltd's data processing activities, subject to the following conditions:
Upon termination of the SafeTrace service agreement:
This DPA is governed by the laws of England and Wales. Any disputes arising from this DPA shall be subject to the exclusive jurisdiction of the courts of England and Wales.
